Beatrice Bianchi Fasani is a Florida licensed attorney. Ms. Bianchi Fasani has extensive experience advising high-net-worth families and closely held businesses investing in the U.S. real estate market, and on U.S. and international wealth planning matters. As a US corporate attorney, Ms. Bianchi Fasani has experience in mergers and acquisition including creating U.S. and foreign entities and advising international and domestic companies on multi-million dollar deals. Ms. Bianchi Fasani attended Boston University, where she graduated cum laude in International Relations and International Economics. After completing her undergraduate studies, Ms. Bianchi Fasani relocated to South Florida to attend the UM School of Law where she graduated with honors with a Juris Doctorate degree and a Master in Taxation.
REPRESENTATIVE MATTERS - Corporate Transactions - Drafted the Operating Agreement of a company owning a US$30 million hotel in Florida. - Represented a corporation shareholder in the redemption of his shares valued US$3.5 million by the corporation and prepared all the necessary documents, including Redemption Agreement, Assignment and Assumption Agreement, and Corporate Resolutions. - Acted as general counsel of a US$10 million company and prepared all the documents necessary to receive loans from third-party lenders and from the company’s shareholders, including Loans Agreements, Promissory Notes and Personal Guarantees. -Represented a client in the acquisition of the shares of a Florida Company, owning a restaurant located in North Miami Beach, valued US$5 million. I drafted all key documents, including the Purchase and Sale Agreement, Assignment and Assumption Agreement, and Corporate Resolutions.
REPRESENTATIVE MATTERS - Real Estate Investment Planning and Real Estate Transactions. - Represented a client in the acquisition of a property valued US$10 million. The client was a foreign tax resident and his goal was to eliminate FIRPTA withholding, and sheltering the asset from US Estate Tax. I advised the client to purchase the property through an irrevocable trust, I prepared the trust document and I represented the client in the purchase transaction successfully. - Restructured a client’s real estate portfolio valued over US$10 million. The original structure included a company governed by the laws of the United Arab Emirates owning a Florida Limited Liability Company (the LLC) which in turn owned several properties in Florida. The client wanted to transfer the LLC membership interests from the UAE company to a company registered and located in the United Kingdom.
